1. Acceptance of Terms

By accessing or using the ICMSM Hub website at https://icmsm.org and any associated services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the Services.

These Terms constitute a binding agreement between you and International Metallurgical Resource Industry Association Limited (Company Registration No. 39850729-002-10-26-A), operating through its registered branch International Critical Minerals & Metals Association ("ICMSM Hub", "we", "us", "our").

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. The Services are intended for professional use by individuals and organisations operating in or with an interest in the critical minerals, strategic metals, and related industries.

3. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website or by email where we hold your contact details. Your continued use of the Services after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

4. Use of the Services

4.1 Permitted Use

You may use the Services for lawful purposes consistent with these Terms and applicable law. You agree to use the Services only in connection with legitimate professional activities related to the critical minerals and strategic metals industry.

4.2 Prohibited Conduct

You must not:

  • Use the Services in any way that violates applicable laws or regulations of Hong Kong SAR or any other jurisdiction
  • Transmit any material that is defamatory, offensive, obscene, threatening, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorised access to any part of the Services or any system or network connected to the Services
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Services without our prior written consent
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses or any other malicious code
  • Collect or harvest personal data of other users without their consent
  • Use the Services to send unsolicited commercial communications

5. Membership

5.1 Application

Membership in ICMSM Hub is subject to a separate application process and approval by the association. Submission of a membership application does not guarantee membership. We reserve the right to accept or decline any application at our sole discretion.

5.2 Member Obligations

Members must maintain accurate and current account information, keep their login credentials confidential, and comply with these Terms and any additional membership rules published by the association.

5.3 Termination of Membership

We reserve the right to suspend or terminate membership at any time for breach of these Terms or conduct detrimental to the association or its members, subject to any applicable mandatory procedural requirements.

Where membership is terminated for cause, the association will provide the member with written notice of the grounds for termination and a period of not less than 14 days to make written representations before a final decision is made, unless immediate suspension is required to protect the interests of the association or its members. 6. Conferences and Events

Registration for ICMSM Hub conferences and events is subject to availability and any event-specific terms communicated at the time of registration. Cancellation and refund terms for specific events will be stated in the event registration materials.

As a general guide, cancellations received more than 30 days before an event will receive a full refund of registration fees paid; cancellations received 14–30 days before the event will receive a 50% refund; cancellations received fewer than 14 days before the event are non-refundable. Substitution of delegates is permitted at any time prior to the event. ICMSM Hub reserves the right to cancel or postpone an event, in which case registered delegates will receive a full refund of registration fees. 7. Market Data and Research Content

7.1 No Investment Advice

All commodity price data, market intelligence reports, research materials, and other data available through the Services ("Market Data") are provided for general informational purposes only. Nothing in the Services constitutes investment advice, financial advice, trading advice, or any other form of professional advice. You should not rely on Market Data as the sole basis for any investment or trading decision.

7.2 No Warranty on Data Accuracy

Market Data is sourced from third-party providers and publicly available sources. We make no representation or warranty as to the accuracy, completeness, timeliness, or fitness for purpose of any Market Data. Commodity prices and market conditions can change rapidly and without notice.

7.3 AI Intelligence Assistant

The AI Intelligence Assistant feature uses artificial intelligence to generate responses based on available data. AI-generated content may contain errors, omissions, or outdated information. You must independently verify any AI-generated content before relying on it for any purpose. We expressly disclaim all liability for any loss or damage arising from reliance on AI-generated content.

8. Intellectual Property

8.1 Our Content

All content on the Services, including text, graphics, logos, data compilations, software, and other materials (excluding User Content and third-party content), is owned by or licensed to ICMSM Hub and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without our prior written consent.

8.2 User Content

By submitting any content to the Services (including application information, enquiries, and messages), you grant us a non-exclusive, royalty-free licence to use, store, and process that content for the purposes of providing the Services and as described in our Privacy Notice.

8.3 Trade Marks

"ICMSM Hub", "International Critical Minerals & Metals Association", and associated logos are trade marks or service marks of International Metallurgical Resource Industry Association Limited. You must not use these marks without our prior written consent.

9. Third-Party Services and Links

The Services may contain links to third-party websites or integrate with third-party services (including HubSpot for CRM, OpenAI for AI processing, and market data providers). We do not control and are not responsible for the content, privacy practices, or availability of any third-party website or service. Links do not constitute endorsement. Your use of third-party services is governed by their own terms and privacy policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ICMSM HUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) HKD 1,000.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ICMSM Hub and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

13. Privacy

Our collection and use of personal data in connection with the Services is governed by our Privacy Notice, available at https://icmsm.org/privacy, which is incorporated into these Terms by reference.

14. Governing Law and Jurisdiction

These Terms of Use and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong SAR"), without regard to its conflict of law principles.

Each party irrevocably submits to the exclusive jurisdiction of the courts of Hong Kong SAR to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. Nothing in this clause limits the right of either party to seek urgent injunctive or other interim relief from any court of competent jurisdiction, nor does it affect any mandatory jurisdiction provisions that cannot be excluded by agreement under applicable law.

15. General

15.1 Entire Agreement

These Terms, together with our Privacy Notice and any event-specific or membership-specific terms, constitute the entire agreement between you and ICMSM Hub with respect to the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Language

These Terms are written in English. In the event of any conflict between an English version and any translation, the English version shall prevail.
